Business Practice
Our Business attorneys represent individuals and serve as general counsel to a variety of businesses, including corporations, partnerships, limited liability companies, limited partnerships and sole proprietorships. Our attorneys provide advice and counsel to individuals and businesses regarding choice of business entity and entity formation, contract negotiation and drafting, purchase and sale of entities and assets, shareholder agreements, stock purchases and redemptions, buy-sell agreements, stock option plans and agreements, employment agreements, and miscellaneous business agreements and transactions. Our clients reflect the diversity of the types of businesses in the Bay Area, including contractors, professionals, start-ups, service businesses, retail establishments, restaurants, investment entities, financial services, engineers, architects and designers, and many other types of businesses.

Estate Planning, Trust Administration & Probate Practice
Our Estate Planning, Trust Administration, and Probate attorneys focus their practice on estate planning, estate and trust administration, gift and estate tax law and probate of estates. Our attorneys have extensive expertise in the following areas: counseling clients regarding their personal estate and business planning; drafting trusts, wills, durable powers of attorney, health care directives, prenuptial agreements, and other estate and gift planning documents: pre and post-death tax planning for individuals and their businesses, trusts and estates; preparation and filing of estate tax returns and gift tax returns; charitable and legacy planning; and planning for domestic partners.

Civil Litigation Practice
Our Civil Litigation attorneys focus their practice in the areas of real estate, business, construction, trust administration, municipal defense and personal injury. Our attorneys have extensive experience representing municipalities, including Menlo Park, Portola Valley and Morgan Hill, and representing both plaintiffs and defendants in non-public entity cases, such as contractual matters, construction disputes, trust & estate matters, and real estate disputes. Our attorneys are familiar with the local Superior Courts in San Mateo, Santa Clara, Alameda and San Francisco Counties, as well as Federal Courts in San Francisco, Oakland and San Jose. The practice emphasizes potential resolution of cases prior to trial; however, our attorneys have substantial experience in both jury and court trials, as well as appeals.

Dispute Resolution Practice
Our Dispute Resolution attorneys specialize in resolving matters without the necessity of proceeding to trial. Our attorneys use their negotiation skills to bring about prompt resolution of matters and resolve matters using their dispute resolution skills before either party in a dispute files litigation. Our attorneys help clients select the proper dispute resolution forum: mediation, arbitration, early neutral evaluation, or another creative method and the right mediator or arbitrator. Our attorneys have mediated and arbitrated cases in real estate, business, construction disputes, municipal law, will contests and estate matters. Our attorneys also do not hesitate to use procedural motions in court to narrow the dispute to make them amenable to settlement. Working very closely with the Civil Litigation attorneys, our dispute resolution attorneys ensure that issues and matters that need judicial intervention or need to be tried do go to court and are not needlessly delayed by dispute resolution.

Land Use Practice
Our Land Use attorneys represent a variety of private parties in connection with land use strategy as well as obtaining entitlements. Areas of experience and expertise include all aspects of CEQA compliance, including analysis of environmental documents; general plan, zoning and Subdivision Map Act approvals; permitting issues under special regulations (such as the California Coastal Act); representation before local as well as regional governmental agencies; negotiating and drafting of development agreements and redevelopment agency agreements; and facilitating LAFCo annexations. Because our Land Use attorneys also have vast experience with counseling municipal and public law clients, they bring a keen perspective to private development clients as the attorneys understand the collaboration which must occur between the public and private sector for projects to move forward.

Municipal Law Practice
Our Municipal and Public Law attorneys represent public sector clients on a variety of levels including serving as City Attorneys for two cities, serving as special counsel for numerous other cities and representing special local districts including a fire district, a water district and a community services district. Our areas of expertise include drafting and implementation of zoning and land use regulations; enforcement of municipal codes; negotiating and drafting joint powers agreements; negotiating and documenting formal bidding and informal solicitation for governmental procurements, as well as professional service contracts with architects, engineers, financial advisors and other consultants and providing advice with all aspects of the public construction contract process. As a result of our long standing involvement in the public sector, we are well versed in a broad range of municipal issues that agency officials face, including open meeting laws (the Brown Act); conflicts of interest and economic disclosure (the Political Reform Act), public access to information (the Public Records Act); competitive bidding and procurement of goods and services (the California Public Contract Code); and litigation against governmental agencies (the California Torts Claims Act and writs of mandate).

Real Estate Practice
Our Real Estate attorneys represent real estate investors, developers, buyers, sellers, owners, managers, landlords and tenants in a wide array of commercial and residential real property matters. Our expertise includes negotiation and drafting of purchase and sale contracts, financing and construction documents, leases, licensing arrangements, easements, joint development agreements, joint ownership agreements, CC&R’s, and other transactional documents that effectively assist our clients in investing, buying, selling, owning, developing, leasing or improving property. We work diligently to achieve balance between protecting our clients’ best interests while respecting the business realities of the modern real estate environment.
